1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and RoofHero Australia Pty Ltd (ABN [INSERT]) ("RoofHero", "we", "our", or "us"). By accessing or using the RoofHero website, mobile application or any associated services (collectively, the "Platform"), you acknowledge that you have read, understood and agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred on you by the Australian Consumer Law (Schedule 2, Competition and Consumer Act 2010 (Cth)) ("ACL") or any other applicable legislation that cannot lawfully be excluded, restricted or modified.

2. Platform Overview – RoofHero’s Role

1. RoofHero operates an online marketplace that connects homeowners, property managers or other persons seeking roofing services ("Customers") with independent, qualified roofing contractors ("Contractors").
   

2. RoofHero does not provide roofing, building or construction services and is not a contractor, builder, agent or representative of any Contractor. RoofHero does not supervise, direct, control or guarantee the work or conduct of Contractors.
   

3. All service contracts are formed directly between Customers and Contractors. RoofHero is not a party to, and bears no liability under, any contract for roofing services.
   
   

3. Definitions

"Services" means the matching, quote‑comparison and related facilitation services provided by RoofHero through the Platform. "User" means any person accessing or using the Platform, including Customers and Contractors.

4. Eligibility & Account Registration

1. To create an account you must:
   a. be at least 18 years old;
   b. have the legal capacity to enter into these Terms; and
   c. provide accurate, complete and current information.
   

2. Contractors must hold all licences, registrations and insurances required by applicable state or territory building legislation (including the Home Building Act 1989 (NSW) where relevant).
   

3. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
   
   

5. Responsibilities of Users

5.1 Customers

• Provide accurate job information, site access and any required approvals

• Review Contractor quotes, licences and insurance before accepting a quote.

• Enter into a written contract with the selected Contractor and comply with its terms.
  
  

5.2 Contractors

• Maintain current licences, registrations and insurances and provide evidence on request.

• Submit quotes that are honest, accurate and comply with applicable law (including mandatory warranties under the Home Building Act 1989 (NSW) or equivalent).

• Perform services with due care and skill, in accordance with the contract, all laws and industry standards.

• Pay applicable RoofHero platform fees as set out on the Platform or in a separate Contractor Participation Agreement.
  

6. No Guarantee, Endorsement or Warranty

1. RoofHero vets Contractors only to the extent of verifying licence and insurance details provided at onboarding; we do not guarantee the quality, suitability, safety, legality or ability of any Contractor or the outcome of any roofing work.

2. Any ratings, reviews or other content posted on the Platform are statements of opinion by Users, not RoofHero.

3. You acknowledge that any service obtained via the Platform is at your own risk.
   

   
   

7. Payments, Fees & Cancellations

1. Payments Flow. RoofHero uses a third‑party payment processor (e.g. Stripe) to facilitate payments. Unless expressly stated, funds are paid directly from Customer to Contractor. RoofHero may deduct platform fees as an application fee. RoofHero does not hold funds on trust or in escrow.

2. Platform Fees. RoofHero may charge Contractors a lead fee, subscription or commission. Current fees are displayed in your Contractor dashboard or agreement and may be changed on 14 days’ notice.

3. Cancellations & Refunds. Cancellations, variations and refunds are governed by the contract between Customer and Contractor. RoofHero is not responsible for enforcing payment obligations or issuing refunds.

4. GST. Unless otherwise specified, prices are in Australian dollars and inclusive of GST.

8. Intellectual Property

1. RoofHero owns all intellectual property rights in the Platform, including software, text, graphics and trademarks, except User‑generated content.

2. You must not copy, modify, distribute, sell or lease any part of the Platform except as expressly permitted by these Terms or with our prior written consent.

9. User Content & Reviews

1. Users may submit content such as reviews, ratings, photos or job details ("User Content").

2. You grant RoofHero a non‑exclusive, worldwide, royalty‑free, perpetual licence to use, reproduce, adapt, publish and communicate your User Content for the purpose of operating and promoting the Platform.

3. You warrant that you have all necessary rights to submit the User Content and that it is not defamatory, obscene, misleading or otherwise unlawful. RoofHero may remove or moderate User Content at its absolute discretion.

   
   

10. Limitation of Liability & Disclaimers

1. Subject to clause 10.2 and to the fullest extent permitted by law, RoofHero is not liable for any indirect, consequential, special or incidental loss, or for loss of profits, revenue, goodwill or data.

2. Nothing in these Terms purports to exclude any consumer guarantees or statutory warranties that cannot be excluded under the ACL. Where RoofHero’s liability for breach of such a guarantee or warranty can be limited, our liability is limited (at our option) to re‑supplying the Services or paying the cost of having the Services re‑supplied.

3. RoofHero’s aggregate liability to any User under or in connection with these Terms (including negligence) is capped at AUD $100.

11. Indemnity

You indemnify RoofHero and its officers, employees and agents against any claim, liability, damage, loss or cost (including legal costs) arising out of or connected with:

(a) your breach of these Terms;
(b) your contract or dealings with another User; or
(c) your infringement of any third‑party rights.

12. Suspension & Termination

RoofHero may suspend or terminate your account immediately if you breach these Terms, misuse the Platform or if required by law. Termination does not affect any existing contracts between Users.

13. Modification of Terms

We may amend these Terms by posting an updated version on the Platform and notifying registered Users (for example, via email or in‑app notice). Changes take effect 14 days after notice (or earlier if required by law). Your continued use of the Platform after that date constitutes acceptance of the amended Terms.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of New South Wales, Australia. The parties submit to the non‑exclusive jurisdiction of the courts of that State and the Commonwealth of Australia.

15. General

• If any provision of these Terms is held to be invalid or unenforceable, that provision will be severed and the remaining provisions remain in full force.

• A waiver of any right under these Terms is effective only if in writing.

• These Terms constitute the entire agreement between you and RoofHero in relation to the subject matter and supersede any prior arrangements.
